Terms of Service
These terms say how FormaRoman Group works with a client on a Romanian company and how this website may be used. Read them before you send documents or pay an invoice.
Who we are and what these terms cover
Who you are dealing with
These terms are between you and FormaRoman Group. In them, "we", "us" and "FormaRoman Group" mean this business. We work in English, and these terms are in English. You can reach us at:
FormaRoman Group Bulevardul Unirii 45, Bucharest 030827, Romania info@company-formation-in-romania.com +40 21 987 6543 Monday to Friday, 09:00 to 18:00, Bucharest time
A question about these terms goes to the contact page or to the email address above.
What these terms cover
These terms cover two things: your use of this website, and the work we do for you once that work has been agreed in writing.
That work includes forming, buying, changing or dissolving a Romanian company, usually an SRL (societate cu răspundere limitată, a limited liability company); a registered office (sediu social) or a virtual office in Bucharest; help with a business bank account and with VAT registration; help with licence and trade mark applications; and the paperwork for a founder's visa or residence permit. A written quote or engagement letter for one job may add terms for that job.
What we do and what we never do
What we do
- Prepare the standard forms and declarations that you read and sign.
- File them at the trade register, ANAF, OSIM and EUIPO under your power of attorney.
- Submit returns and statements your accountant prepared and signed, and file individuals' tax-residence questionnaires.
- Arrange translations, and prepare paperwork for banks and for licence, visa and permit applications.
- Arrange the share transfer of a ready-made SRL to a buyer, under a written agreement.
- Provide a registered office or virtual office address in Bucharest, under its own written contract.
A company on our ready-made list is an invitation to enquire. We confirm its availability, its price and the disclosed details in writing before any payment.
What we never do
- Give tax advice, or tell you which tax position or structure suits you.
- Keep your books, run your payroll, or prepare, compute or sign a return or statement.
- Carry out an audit of your accounts.
- Give legal advice or draft bespoke legal documents: a Romanian lawyer does that.
- Act as your administrator or shareholder, or hold shares or an office for you.
- Promise an outcome or a processing time from any authority, register or bank.
Romanian law reserves accounting, tax advice, audit and legal advice to licensed professionals (art. 6, 7 and 21(1) of OG 65/1994; art. 3(1) and 3(2) of Law 51/1995), so one of them does that work, not us. FormaRoman Group is not a law firm.
Filing for you under a power of attorney
The law lets the founders, the first administrators or an attorney of theirs file the registration application at the trade register (art. 36(1) of Law 31/1990, January 2024 text, in Romanian). A filing for a client at the tax authority (ANAF), the trade mark office (OSIM) or the EU Intellectual Property Office (EUIPO) uses the same method: a power of attorney.
You decide what is filed
The filing and the office it goes to are named in writing before anything is sent.
You sign a power of attorney
that names that filing and that office and covers nothing else. We tell you what form the office needs, such as a signature, an apostille or a translation, once the case is known.
You read and sign the standard forms we prepare
The facts declared in them stay yours.
We file and follow the filing
, and send you what the office returns, including a refusal or a request for more documents.
We file only what you approved
A change to the filing needs your approval again.
You can revoke the power of attorney in writing
It stops when we receive your notice. Filings already made stay as made.
At the immigration office (IGI), the National Bank of Romania (BNR), the Financial Supervisory Authority (ASF) and the banks, we prepare and coordinate the file, and you or your own lawyer submit or sign it where the body requires. After an EUIPO filing, an owner outside the European Economic Area needs a professional representative.
What we ask of you
- Give accurate and complete information and documents, and tell us when they change.
- Identify every founder, director and beneficial owner as we ask.
- Tell us where the money for the company comes from, when we ask.
- Read what we prepare before you sign it.
- Pass on any letter from an authority as soon as you receive it.
- Keep your own accountant for the company's books, tax returns and payroll.
Forming a company and providing a registered office are activities regulated under Romania's anti-money-laundering law (art. 2(l) and 5(1)(g) of Law 129/2019, in Romanian), so we check identity and ownership. We may decline or stop work when a check cannot be completed. Where the law requires it, we report to the authority and may not tell you (art. 6(1) and 38(2), same act). How long we keep identity and ownership records is set out in the privacy policy.
Fees, payment, refunds and cancellations
Our fees
We give our fees on request, in writing, for each job. This website shows no service price, except the prices on the ready-made company list, which we confirm in writing before any payment. Invoices are in euro. Costs paid to authorities, banks or other third parties on your behalf are separate from our fee, unless our quote says otherwise.
Paying an invoice
You pay an invoice from FormaRoman Group through the payment page, by quoting the invoice number printed on it. We never ask for card numbers by email, and the payment page never takes them.
Sending the payment form only records a request. Nothing is charged until we confirm by email how to pay.
Card payments are completed on the card processor's own page (Stripe) and crypto payments on the crypto processor's invoice page (NOWPayments), and the processor's own terms apply to that payment. A payment counts as received when the processor confirms it to us. The page you return to afterwards is not a receipt.
Refunds and cancellations
To ask for a refund or to cancel work, follow these steps. They apply to every payment you make to FormaRoman Group.
- Write to us. Email info@company-formation-in-romania.com or use the contact page, naming the invoice number and the name on the payment.
- We answer in writing. Fees for work not started are refunded in full. Work already done is charged pro rata. State fees and other third-party costs paid on your behalf are not refundable.
- How a refund is paid. A card payment returns to the same card through the processor. A crypto refund is worked out at the euro value on the invoice and paid in the same cryptocurrency to an address you confirm in writing or, if you choose, by bank transfer in euro; network fees are deducted from it.
- Cancelling work is done in writing. We confirm in writing that the engagement has ended. Filings already made continue under the office's own process, and the power of attorney is revoked as described in the section on filing above.
Responsibility, this website and changes
What we do not control
Authorities, registers, banks, supervisors and immigration offices decide in their own time and on their own rules. We promise no outcome and no processing time, and we do not guarantee that a bank opens an account or that a VAT code, a licence, a visa or a permit is granted.
What we answer for
We answer for doing the work we agreed with you and for filing what you approved. Our liability for a service is limited to the fees you paid us for that service.
We do not answer for facts you gave us that were wrong or incomplete, for decisions of authorities, banks or registers, or for your own tax, accounting and legal duties after the work is done. Nothing in these terms excludes a liability that the law does not allow to be excluded.
Using this website
The information on this website is general, and each guide states the law as at the date shown on its page. It is not legal, tax or accounting advice, so check it with your own adviser before relying on it. The text, layout and original images belong to FormaRoman Group, and copying them needs our permission.
The privacy policy explains how we handle personal data, and the cookie policy explains what the site stores in your browser.
Changes to these terms
We may update these terms, and the "Last updated" date at the top shows when. Work already agreed in writing continues on the terms it was agreed on.
Governing law and disputes
These terms, and any dispute about them or about our work for you, are governed by Romanian law, and the courts of Bucharest have jurisdiction. If you are a consumer, this does not take away the mandatory rights the law of your country of residence gives you.
