Formation and company services in Romania
Each service has its own page, with the steps, the documents and who acts at each stage.
SRL Formation in Romania
The usual company for one founder or several. We prepare the standard forms the founders sign, then file them at the trade register.
VAT registration
You can ask for VAT in the trade register filing. It then runs from registration. We prepare the request as part of our VAT registration service.
Business bank account
Every legal person must hold a payment account in Romania. We put together the file the bank asks for on the company and its director. See the business bank account page.
Company changes and share transfers
A share transfer, or a new administrator, seat, object or capital. The shareholders sign standard forms, and we file them at the trade register. See the detailed company changes page.
Registered Office in Romania
A Bucharest address for your sediu social (registered office). It comes with the right of use the Company Law requires for a company's seat.
Virtual office
Mail handling and a meeting room in the capital, next to the company's address. See our virtual office in Bucharest.
Business visa for founders
For a founder who moves to Romania to run the company, we prepare the long-stay visa and residence-permit files. See the business visa page.
Trade marks at OSIM and EUIPO
We file the application under your power of attorney: registering a mark with OSIM, or an EU trade mark at EUIPO.
Closing a company
Dissolution and strike-off. We coordinate the file, and an authorised liquidator runs the liquidation. See the voluntary liquidation route.
Romania's company forms at a glance
The table shows what the law requires of each form. It does not say which one to choose. The guide explains the company forms of Law 31/1990.
Law 31/1990 (text of January 2024) and Law 239/2025, in force from 18 December 2025 (Law 239/2025 art. VI, ANAF comparison table); background in the 500 lei minimum since December 2025.

How a Romanian company is formed from abroad
Formation takes six steps. Under the provisions we read (Law 265/2022, 2022 text), the first five need no trip to Romania. The registrar can still ask you to appear in person where it suspects identity forgery (art. 105(2)). The bank usually wants to meet the director in person.

The structure conversation (remote)
We set out the conditions of each vehicle, tax position and choice of administrator. Legal advice and bespoke drafting of the articles go through a Romanian lawyer (Law 51/1995 art. 3(1)(a), (c), 3(2)).
Power of attorney and documents (remote)
You sign an authentic (notarised) power of attorney, special or general. We settle in step 1 how one signed abroad is legalised. Foreign official documents need an apostille or superlegalisation and a legalised Romanian translation (Law 265/2022).
The constitutive act (remote)
The founders sign standard forms under private signature. You need a notary only for real estate brought in kind, an SNC or SCS partnership, or an SA formed by public subscription (Law 31/1990 art. 5(6)).
Filing at the trade register (remote)
Our attorney files at the trade register within 15 days of the act (Law 31/1990 art. 36(1)). The statute gives the registrar one working day to decide (art. 105(1) Law 265/2022). That is the law's term, not a promise.
Registration and the fiscal code (remote)
The company is a legal person from registration (Law 31/1990 art. 41(1)). ANAF assigns the cod unic de înregistrare (CUI) on data from ONRC. See company registration number in Romania. We file the beneficial-owner declaration.
Capital and the bank (usually in person)
You pay in the capital on the terms set out under the table. The company must hold a payment account in Romania within 60 working days. Banks usually meet the director in person: that is their practice, not a legal rule.
What a Romanian company must carry after registration
Registration is the start. These are the points where a structure fails after it.
- Pay in the capital on time: 30% within 3 months of registration, the cash balance within 12 months, in-kind contributions within 2 years.
- Hold a payment account in Romania within 60 working days, a rule from 1 January 2026. The fine is 3,000 to 10,000 lei (Law 239/2025).
- ANAF declares the company inactive if it has no payment account, or if its annual accounts are still not filed 5 months after the legal deadline (grounds applied from 1 January 2026). A company declared inactive after 18 December 2025 is dissolved unless it is reactivated within a year.
- Keep the seat valid: losing the seat conditions is a ground for dissolution (Law 31/1990, article 2372(1)(a)).
- VAT: ANAF registers the company first and runs its risk analysis afterwards (Fiscal Code art. 316(9)). See checking a Romanian VAT code on VIES.
- Keep within the micro conditions: the 1 percent turnover regime applies only up to EUR 100,000 of revenue, counting linked enterprises.
- Substance: a foreign company effectively managed from Romania is a Romanian tax resident (Fiscal Code art. 7 pt. 37).
- Only CECCAR accountants may keep the books and prepare the returns as outside professionals (OG 65/1994 art. 43(1)). We submit what they prepare and sign.

Frequently asked questions before forming a Romanian company
Can a foreign individual or a foreign company own all of a Romanian company without living in Romania?
Yes. Individuals and legal persons may form a Romanian company (Law 31/1990 art. 1(1)), and one person may form an SRL alone (art. 5(2)). The Company Law provisions on forming a company set no residence condition. Rules outside that law, such as those on the administrator, we cover in the structure conversation.
Do I have to travel to Romania to form the company?
Not as a rule. An attorney files at the trade register under your authentic special or general power of attorney (Law 31/1990 art. 36(1); Law 265/2022). The application may carry a qualified electronic signature. The registrar can ask you to appear in person only where it suspects identity forgery (art. 105(2)). The bank usually wants the director in person.
Will a Romanian bank open the account for a company owned from abroad, and what happens if the account is not opened in time?
A payment service provider may refuse the account only under the AML and sanctions rules. A new company must open it within 60 working days, or face a fine of 3,000 to 10,000 lei (Law 70/2015 as amended by Law 239/2025, from 1 January 2026). No account is also a ground for inactivity. Banks usually meet the director in person.
Can ANAF cancel or question the VAT number after the company is registered?
ANAF registers the company for VAT first and runs its risk analysis afterwards (Fiscal Code art. 316(9)). One listed risk criterion is a foreign administrator without Romanian tax residence, combined with share capital under 45,000 lei (Annex 6 to the VAT norms). Our VAT registration page describes the file we prepare with that analysis in mind.
Can a company that belongs to a group use the 1% micro regime?
Within its conditions: revenue within the lei equivalent of EUR 100,000, counting linked enterprises, and an employee within 90 days of registration. Shareholders above 25% designate their one micro-enterprise by 31 March of the following year, and the company notifies ANAF by 31 March of the tax year (Fiscal Code art. 47(4) and 55(2)). Otherwise: 16% profit tax (art. 17).
Does forming a Romanian company give me the right to live in Romania?
Not by itself. The D/AC long-stay visa is for shareholders or members with management duties. It needs an opinion on the business plan from ARICE, the Romanian investment and foreign trade agency. For applications from 27 April 2026, the visa fee is EUR 300, paid in the country of application. The business visa page sets out the file.
Can I take the profit out to a foreign parent company without dividend tax?
Dividends distributed from 1 January 2026 are taxed at 16%. For a non-resident, a tax treaty rate can cap that (Fiscal Code art. 224(4)(b)). The EU parent exemption needs a Romanian payer that pays profit tax with no option, so a micro-enterprise payer does not qualify (art. 229(1)(c)). Our holding page covers the structure.
How much does it cost to establish a company in Romania?
On the state side, a new SRL needs at least 500 lei of share capital (Law 239/2025, from 18 December 2025). You pay in 30% of it within 3 months of registration. The power of attorney, the apostille and the legalised translation are third-party charges. We quote our fee on request, once the structure is known.
What are the steps to create a company in Romania?
You start with the documents and a power of attorney. The founders sign the constitutive act, and the attorney files it at the trade register within 15 days of the act (Law 31/1990 art. 36(1)). From registration, the company is a legal person (art. 41(1)). Then comes a payment account in Romania within 60 working days.
How much is corporate tax in Romania?
Profit tax is 16% of taxable profit (Fiscal Code art. 17). A micro-enterprise pays 1% of its revenue instead (art. 51(1)), as long as it meets the micro conditions. These are revenue within EUR 100,000 counted with linked enterprises, an employee, and one micro-enterprise per shareholder above 25%. Dividends are taxed separately, at their own rate.
What does "SRL company" mean in Romania?
SRL stands for societate cu răspundere limitată, a limited liability company. One member is enough and there can be at most 50 (Law 31/1990 art. 5(2), art. 12). A new SRL needs at least 500 lei of share capital since 18 December 2025. An SRL whose previous-year net turnover exceeded 400,000 lei needs 5,000 lei.
How long does company registration take in Romania?
The statute gives the trade register registrar one working day from the filing to decide (art. 105(1) Law 265/2022). That is the law's term, not a promise of how long a file takes. The documents and the power of attorney come before it. The bank account and the VAT risk analysis come after it.
